Transactions and transitions

Stein Law has significant experience negotiating, structuring, and implementing commercial transactions such as acquisitions and dispositions (stock and asset), mergers, joint ventures, corporate spin-offs and leveraged buyouts. As our clients’ businesses expand and contract, we approach each transaction with their financial considerations and long-term strategic plans in mind, including appropriate structures to maximize tax savings.

We have advised on transactions ranging in size from a few hundred thousand dollars up to a half billion dollars, and will shepherd your transaction from concept through conclusion, including:

Cross-border transactions

Our Corporate and Tax practice handles complex cross-border business arrangements and transactions.

We have represented numerous international clients in the acquisition of U.S. business interests, the establishment of business operations in the United States, joint ventures with U.S. partners, and licensing and distributor arrangements.

We assist non-U.S. corporate and individual clients with the structuring, planning, maintenance and reorganization of their U.S. investments and business activities. Our lawyers have planned and formed numerous tax-favored holding structures for our clients’ investments, including captive insurance companies and real property ownership.
